Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Perigee Science Wire regarding your access to and use of the perigeescience.jp website, mobile application, and all related services (collectively, the "Services"). By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services. We reserve the right to modify these Terms at any time, and your continued use of the Services following any changes constitutes acceptance of those changes.

Eligibility and Account Registration

You must be at least 16 years of age to use our Services independently. If you are under 18, you represent that you have obtained parental or guardian consent to use our Services. Organizations may register on behalf of their employees, students, or members, and are responsible for ensuring compliance with these Terms by all authorized users. When you create an account, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account. You may not transfer your account to another person without our prior written consent.

Subscription Plans and Billing

We offer several subscription plans with varying features and pricing. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Subscription fees are billed in advance on a recurring basis (monthly or annually) and are non-refundable except as required by law or as expressly stated in these Terms. We reserve the right to change our pricing with at least 30 days' notice to existing subscribers. Price changes will take effect at the start of your next billing cycle after the notice period. You authorize us to charge your chosen payment method for all fees. If payment fails, we may suspend or terminate your access to paid features after providing reasonable notice. You are responsible for all applicable taxes associated with your subscription.

Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting customer support. Upon cancellation, you will retain access to paid features until the end of your current billing period, after which your account will revert to the free tier. We do not provide refunds for partial subscription periods, except in cases of service failures that prevent you from accessing the Services for an extended period or as required by applicable consumer protection laws. Enterprise customers may have different cancellation terms as specified in their individual agreements. If we terminate your account for violation of these Terms, no refund will be provided.

Intellectual Property Rights

All content on our Services, including articles, research summaries, data visualizations, graphics, logos, software, and other materials (collectively, "Content"), is owned by or licensed to Perigee Science Wire and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Content solely for your personal, non-commercial use or, for commercial subscribers, in accordance with your subscription plan. You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any Content except as expressly permitted by these Terms or with our prior written consent. Educational institutions with appropriate licenses may use Content in classroom settings as specified in their license agreements. Journalists and researchers may reference our Content with proper attribution as specified in our content licensing guidelines.

User-Generated Content and Conduct

You may not use the API to create a competing service, resell API access to third parties without authorization, or exceed the usage limits specified in your subscription plan. We reserve the right to modify, suspend, or discontinue API access at any time with reasonable notice. You must implement appropriate security measures to protect API credentials and prevent unauthorized access.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Perigee Science Wire and its officers, directors, employees, agents, affiliates, and partners from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, your violation of any rights of another party, or your User Content. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in Tokyo, Japan, in accordance with the Commercial Arbitration Rules of the Japan Commercial Arbitration Association. The arbitration shall be conducted in English. Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights. For users in the European Union, you may also have the right to file complaints with your local consumer protection authority or data protection authority.

Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, with or without notice, effective immediately. Grounds for termination include violation of these Terms, fraudulent or illegal activity, non-payment of fees, abuse of our Services or staff, or any conduct that we determine to be harmful to our business or other users. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including provisions related to intellectual property, disclaimers, limitations of liability, and dispute resolution. We may, at our discretion, delete your account and all associated data following termination, subject to applicable legal retention requirements.

Modifications to Services and Terms

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, including features, functionality, or availability, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuance of the Services. We may update these Terms from time to time to reflect changes in our practices, legal requirements, or for other operational reasons. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. For significant changes affecting your rights or obligations, we may also provide additional notice via email or prominent website notification. Severability and Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while reflecting the original intent. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Perigee Science Wire regarding the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written.
